1. Scope
These terms govern all services of Alpen Select Personalvermittlung, [ADDRESS] ("we") for our clients. Different client terms apply only if we agree to them in writing.
2. Licence
We hold the licence required under the Swiss Employment Services Act (AVG): [AUTHORITY], no. [LICENCE NO.].
3. Permanent placement
Our service
We search for, assess and present candidates for the roles you give us. The employment contract is made directly between you and the candidate. We do not guarantee that we will find a suitable candidate or that a candidate will accept.
Fee
Our fee is [20]% of the candidate's agreed first-year gross annual salary, including agreed bonuses and the 13th month where applicable, plus VAT. It is due when the employment contract is signed, even if the start date is later.
Protection period
If you hire a candidate we presented within [12] months of presenting them, for this or any other role, our fee is due. Please tell us promptly when you hire one of them.
Replacement guarantee
If the employment ends within [3] months of the start date because of the candidate, and not because of your conduct or a restructuring, we will search once for a replacement at no extra fee, provided our invoice has been paid on time.
Candidate data
Candidate profiles are confidential. Use them only to assess the candidate for the agreed role, do not pass them on, and delete them when the search ends. You must follow data protection law when you process them.
4. Payment
Prices are in CHF, plus VAT where applicable. Invoices are payable within [30] days. After the due date we may charge reminder fees and statutory default interest of 5% per year.
5. Confidentiality
Both sides keep confidential everything non-public about the other's business, candidates and staff. This continues after the contract ends.
6. Liability
We are liable without limit for intent, gross negligence and injury to life, body or health. For slight negligence we are liable only for foreseeable direct damage, up to the fee of the engagement, as far as the law allows. We are not liable for indirect damage or lost profit. Mandatory liability is unaffected.
7. Data protection
We process personal data according to our Privacy Policy and Candidate Privacy Notice.
8. Changes
We may change these terms. Changes apply to new engagements. For existing engagements we will tell you in writing, and the changes apply if you do not object within 30 days.
9. Governing law and jurisdiction
Swiss law applies, excluding conflict-of-law rules and the UN Sales Convention. The place of jurisdiction is [CITY], Switzerland, unless mandatory law says otherwise.
